Scope of Application<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These General Terms and Conditions apply to contracts for seminars entered into with Schaufelmann GmbH, Sandersh\u00e4user Stra\u00dfe 87 b, 34123 Kassel (hereinafter \u201cSchaufelmann\u201d). The scope of these General Terms and Conditions includes online seminars as well as in-house training courses. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An online seminar is an interactive online training session in which Schaufelmann delivers content via the Zoom video conferencing software at a predetermined start and end time. Participants attend the session from their own workstations, computers, or other suitable devices. In-house training sessions are in-person training sessions held at the customer\u2019s location.  <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These General Terms and Conditions and our range of services are intended exclusively for business entities as defined in Section 14(1) of the German Civil Code (BGB). Schaufelmann does not participate in dispute resolution proceedings before a consumer arbitration board. Any conflicting general terms and conditions of the customer shall apply only if Schaufelmann has expressly agreed to them in writing.   <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">2. Scope of Services \/ Terms of Payment<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Schaufelmann&#8217;s services consist of providing training materials and conducting the online seminar. The content, participant fee, and date and time of the online seminar are specified on the website and in the online registration form. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Payment is due in advance upon receipt of the invoice and must be made no later than the day before the seminar begins for online training courses, or no later than 3 business days before the seminar begins for in-house training courses. Invoices are sent electronically via email prior to the seminar. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For last-minute registrations, the customer may email Schaufelmann proof of payment before the seminar begins. The invoice will show the applicable gross total price (net price plus applicable sales tax). <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">3. Registration\/Multiple Participants<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Registration for the respective online seminars is done via the online registration form on the seminar provider\u2019s website. There, the customer can initiate the registration process for the online seminar of their choice by clicking the corresponding button. During the registration process, the customer must enter the required (contact) information and participant details, and complete the registration for the online seminar by clicking the corresponding button. The customer can correct any data entry errors at any time using the available buttons\/navigation buttons before clicking the aforementioned button.   <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By registering, the customer submits a binding offer to Schaufelmann GmbH to enter into a contract for participation in the desired online seminar. Schaufelmann GmbH will generally confirm receipt of the registration via email within 48 hours and verify that the participant quota has not already been filled. Registration as described above does not yet constitute the formation of a contract between Schaufelmann GmbH and the customer. After verifying the participant quota, Schaufelmann GmbH will either accept or reject the customer\u2019s offer to enter into a contract for participation in the desired online seminar by issuing a binding booking confirmation in writing. The contract is not formed until a binding booking confirmation is issued in writing.    <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">During the registration process via the ZOOM video conferencing software, each participant must enter their first and last name in the name field at the start of the seminar. If multiple participants are using a single device or computer, the company name must be entered in the name field. Registration for the respective in-house training sessions can be done by phone, in writing, or via email. After reviewing the participant quota, Schaufelmann will accept or reject the customer\u2019s offer to enter into a contract for participation in the desired in-house training course by issuing a binding written booking confirmation. The contract is concluded only upon receipt of a binding written booking confirmation.    <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. Cancellation of Seminars \/ Subject to Change<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Schaufelmann reserves the right to cancel an online seminar due to insufficient demand or insufficient number of participants no later than 5 business days before the scheduled seminar date, or for other important reasons beyond the control of Schaufelmann GmbH (e.g., unforeseen illness of the speaker, force majeure). Schaufelmann will endeavor to arrange an alternative date with the respective customers. If this is not possible, Schaufelmann will refund the participation fee already paid.  <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any further claims for liability or damages that do not relate to injury to life, body, or health are excluded, provided that there is no intent or gross negligence on the part of Schaufelmann. Schaufelmann GmbH\u2019s liability under the Product Liability Act remains unaffected. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Schaufelmann reserves the right to make necessary changes to the content and\/or organization before or during the seminar, provided that such changes do not materially alter the overall nature of the seminar. If necessary, Schaufelmann GmbH is entitled to replace scheduled trainers with trainers of equivalent qualifications. Schaufelmann also reserves the right to conduct in-house training sessions planned as in-person seminars as online seminars. This may be the case, in particular, if demand is too low, for occupational safety reasons, or due to regulatory requirements.   <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Schaufelmann reserves the right to cancel an in-house training session for important reasons beyond Schaufelmann\u2019s control (e.g., unforeseen illness of the instructor, force majeure). In such cases, Schaufelmann will endeavor to arrange an alternative date with the customer. If this is not possible, Schaufelmann will refund the training fee already paid.  <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the customer cancels a confirmed in-house training session, the following cancellation policy applies: No cancellation fee will be charged for cancellations made more than 10 business days before the start of the training. If the cancellation is made between 5 and 10 business days before the training begins, 50% of the agreed-upon training fee is due. If the cancellation is made less than 5 business days before the training begins, the full training fee plus any travel expenses already incurred and that cannot be canceled will be charged. The customer is entitled to prove that Schaufelmann incurred no damages or significantly lower damages. If such proof is provided, only the actual damages incurred must be reimbursed. Schaufelmann reserves the right to prove and claim actual damages exceeding the flat-rate fee.     <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Rebooking Option<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The customer has no contractual right to cancel the contract beyond any statutory provisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For online training courses, the customer has the option to reschedule their participation in a booked online seminar\u2014regardless of the reason\u2014to a different date. Schaufelmann offers this special service as the \u201cFree Rescheduling Option.\u201d Under this option, the customer may select an alternative date within 6 months of the originally booked seminar date. Rescheduling requests must always be submitted in writing via email to the email address listed in the website\u2019s legal notice. The first rescheduling of a booked online seminar is free of charge for the customer. For each additional rescheduling of the same online seminar, Schaufelmann reserves the right to charge a reasonable rescheduling fee per participant. The customer will be informed of the fee amount during the respective rescheduling process.      <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">There is no free rescheduling option for in-house training sessions. Rescheduling a booked in-house training session can only be arranged through an individual agreement between the parties. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">6. Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">In the event of damage, Schaufelmann shall be liable in accordance with the following provisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Schaufelmann\u2019s liability for intentional acts, gross negligence, the absence of a warranted characteristic, claims under the Product Liability Act, data protection violations, or injury to life, body, or health is governed by statutory provisions. For other damages, Schaufelmann is liable in cases of ordinary negligence only if an essential contractual obligation has been breached. Essential contractual obligations are those directly related to the fulfillment of the contractual purpose (primary obligations). Liability in this regard is limited to typical, foreseeable damages. These limitations also apply in favor of the legal representatives and vicarious agents\u2014in particular, trainers\u2014of Schaufelmann GmbH if claims are asserted directly against them.    <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If technical problems, such as Internet outages, occur on the customer\u2019s end at the time of the online seminar\u2014and Schaufelmann GmbH is not responsible for such problems\u2014the participation fee will not be refunded.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. Storage of the Contract Text<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms and Conditions can be viewed and printed from the website\u2019s footer (at the bottom). Schaufelmann GmbH stores the contract text and registration information for the purpose of fulfilling the contract. The registration information will be sent separately to the customer via email.  <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. Access to the Online Seminar<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Participants access the online seminars via the Internet using a password. Along with the booking confirmation and a timely reminder before the seminar begins, participants will receive an email from Schaufelmann GmbH containing the invitation with login credentials and step-by-step instructions for participating in the seminar via a web browser. Alternatively, participants can download the free video conferencing software to their device and log in using the access credentials.  <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Copyright<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">All seminar materials, including the presentations and the online training itself, are protected by copyright and may not be recorded, reproduced, published, or used for other training purposes (including in excerpts) without permission\u2014neither before, during, nor after the seminar. Internal distribution is also prohibited. The use of the seminar materials is permitted solely for your own learning purposes.  <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">10. Governing Law\/Jurisdiction<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">German law shall exclusively govern the performance of this contract and any claims arising therefrom. The place of performance and venue shall be Kassel. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">11.
